Consulting & System Evaluation Terms
1. Scope of Services Bridging Quality Enterprise ("Consultant") agrees to perform professional evaluation and optimization services as defined in the specific service package or Statement of Work (SOW) selected by the Client.
2. The Evaluation Period
Commencement: The "Evaluation Period" begins immediately upon receipt of the Client’s initial data, system access, or onboarding documentation.
Delivery: Reports, architectural audits, and optimization recommendations will be submitted to the Client within the agreed-upon timeframe specified at checkout or in the SOW.
Client Responsibility: Delays in providing necessary system access or information will result in a day-for-day extension of the delivery deadline.
3. Professional Standard of Care Consultant will perform services in a professional manner consistent with industry standards for System Architecture and Quality Assurance. However, the Client acknowledges that system optimizations are subject to external variables (third-party software updates, hardware limitations, etc.).
4. Limitation of Liability To the maximum extent permitted by the federal laws of Canada:
No Warranty: Recommendations are provided "as-is." Implementation of any architectural changes is at the Client's sole risk.
Liability Cap: In no event shall Bridging Quality Enterprise be liable for any indirect, consequential, or incidental damages (including loss of data or profit). Our total liability for any claim arising out of these services shall not exceed the total amount paid by the Client for the specific service in question.
5. Non-Refundable Service Fee The Client acknowledges that the fee paid is for the professional time, expertise, and analysis conducted during the Evaluation Period. Once work has commenced or the initial audit has begun, the fee is 100% non-refundable, regardless of whether the Client chooses to implement the recommended optimizations.
